The licence that comes with every product you buy from us
Updated:
This Licence (the “Licence”) sets out what you may and may not do with the digital products you buy or download from carpicreative.com. It is a legal agreement between you (the “Licensee”, “you”) and CARPI GROUP LTD, trading as Carpi Creative Shop (the “Licensor”, “we”, “us”, “our”), a company registered in England and Wales under company number 17432797, whose registered office is at 32 Topps Drive, Bedworth, Warwickshire, CV12 0DE, United Kingdom.
By downloading, opening or using any product from our store you accept this Licence. If you do not accept it, do not download or use the products.
The short version
This summary is here to help you decide quickly. It is not a substitute for the full terms below, which are what actually apply.
Included with every purchase — yes, you can:
- Use what you buy in unlimited personal and commercial projects, for ever.
- Use it in paid client work and hand the finished result to your client.
- Edit, recolour, crop, combine and animate it to suit the job.
- Use it in print, packaging, signage, advertising, websites, apps, video and social media.
- Sell physical or digital things that incorporate it, as long as it is part of a larger design and not the main thing being bought.
Not included — you cannot:
- Resell, share or give away the files themselves.
- Put them into a stock library, template marketplace or asset pack.
- Claim you created them, or register them as a trademark or logo.
- Use them to train an AI model.
- Sell an item where our asset is the product — a poster, mug or phone case with little else added. That needs an Extended Licence.
No attribution is required, and the licence never expires.
1. Definitions
- Assets means any digital file supplied by us, including textures, patterns, backgrounds, graphics, 3D renders, fonts, templates, mockups, photographs, illustrations and any preview images, together with all variations and file formats we supply.
- End Product means a finished work you create in which an Asset has been incorporated and which is meaningfully different from the Asset on its own — for example a poster, a website, packaging, a garment print or a brand identity.
- Standard Licence means the licence granted in clause 3, which is included in the purchase price of every product.
- Extended Licence means the additional permissions described in clause 6, which must be agreed with us separately in writing.
2. Our ownership of the Assets
The Assets are original works created by or for CARPI GROUP LTD. We own them outright, together with all intellectual property rights in them. Nothing in this Licence transfers ownership of any Asset to you. You are buying a licence to use the Assets, not the Assets themselves.
We warrant that the Assets are our own original work and, to the best of our knowledge, do not infringe the rights of any third party. This means the Assets carry no attribution obligations and no third-party stock, model or property release requirements.
3. Grant of the Standard Licence
On full payment, and for as long as you comply with this Licence, we grant you a perpetual, worldwide, non-exclusive, non-transferable and non-sublicensable licence to use the Assets as set out below.
The Standard Licence is granted to a single person or to the single business entity that paid for it. Within that business, the Assets may be used by any employee or contractor working on that business’s projects.
4. What you may do
- Use the Assets in unlimited personal and commercial projects, with no time limit and no cap on the number of projects.
- Use the Assets in paid client work, and deliver the resulting End Product to your client. Your client may use the End Product for its intended purpose.
- Modify, recolour, crop, combine, animate and otherwise adapt the Assets to suit your project.
- Use the Assets in printed matter, packaging, signage, advertising, editorial, presentations, websites, applications, video and social media.
- Use the Assets in physical or digital items that you sell, provided the Asset is a component of a larger original End Product and is not the principal value of what the buyer is paying for.
- Use the Assets in items produced through print-on-demand services, subject to the limits in clause 6.
Attribution is welcome but is not a condition of this Licence.
5. What you may not do
- Resell, redistribute, licence, lend, share or give away the Assets in their original form, or in any form that is not substantially transformed. This includes uploading them to any file-sharing, cloud-sharing or asset-sharing service that is accessible to others.
- Offer the Assets, or anything derived from them, as part of a stock library, template marketplace, asset pack, plugin, subscription bundle or any other product that competes with our store.
- Claim to be the author or owner of the Assets, or represent that you created them.
- Register an Asset, or any substantial part of an Asset, as a trademark, design right or logo where the Asset is the distinctive element. Assets may form part of a wider identity but must not be the trademark itself.
- Use the Assets in any way that is unlawful, defamatory, obscene, hateful, or that promotes violence, discrimination or the sexual exploitation of any person.
- Use the Assets to train, fine-tune, benchmark or otherwise develop any machine-learning or generative artificial-intelligence model or dataset.
- Remove, obscure or alter any copyright notice, licence file or metadata we supply with the Assets.
- Share your account credentials or download links with anyone outside the business that holds the licence.
6. When you need an Extended Licence
The Standard Licence does not cover the following. Contact us first and we will quote for an Extended Licence:
- Use of an Asset where the Asset itself is the principal value of the item sold — for example a print, poster, phone case, mug or wall art whose main content is the Asset with little or no further design.
- Production runs of more than 10,000 physical units bearing the Asset.
- Use in a product template or theme that will be distributed to multiple end users.
- Use in broadcast television, cinema advertising or any out-of-home campaign with a media spend above £50,000.
- Any use requiring exclusivity, or requiring us to withdraw the Asset from sale.
- Sub-licensing to a third party, or transferring this Licence as part of a sale of your business.
7. Preview images
Preview images, thumbnails and specimen sheets shown on our website are themselves Assets and are covered by this Licence. They are supplied for evaluation and are not licensed for production use. Use the full-resolution files included in your download instead.
8. Fonts
Where an Asset is a font, the Standard Licence covers installing it on the computers of the person or business that bought it, using it to set type in personal and commercial work, and embedding it in a website, application, document or video in a format that does not allow the font file itself to be extracted and reused. It does not cover redistributing the font file, or supplying it to a client as an installable file — your client needs their own licence for that.
9. Refunds
Our products are digital files delivered immediately. Your statutory rights and our refund process are set out in our Terms of Use. Where a refund is given, this Licence ends on the date of the refund and you must delete all copies of the Assets, including any copies held by your clients where the End Product has not yet been published.
10. Term and termination
This Licence lasts indefinitely unless it is terminated. It terminates automatically and without notice if you materially breach any part of it.
On termination you must stop using the Assets and delete every copy in your possession or control. End Products that were lawfully created and published before termination may remain in use, but you may not produce new End Products or reprint existing ones.
Clauses 2, 5, 11, 12 and 14 survive termination.
11. Warranties and disclaimers
We supply the Assets with reasonable skill and care, and we warrant our ownership of them as stated in clause 2. Beyond that, and except as required by law, the Assets are supplied “as is”. We do not warrant that any Asset is fit for a particular purpose, that it will be compatible with any particular software, or that it will meet your requirements. You are responsible for checking that an Asset is suitable for your intended use before you rely on it.
12. Liability
Nothing in this Licence limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under the law of England and Wales. If you are a consumer, your statutory rights are not affected.
Subject to that, our total liability arising out of or in connection with this Licence, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the greater of the amount you paid for the Asset concerned or £100. We are not liable for loss of profit, loss of business, loss of goodwill, loss or corruption of data, or any indirect or consequential loss.
13. Indemnity
You agree to indemnify us against any claim, loss, damage or reasonable cost we incur as a result of your use of the Assets in breach of this Licence.
14. Changes to this Licence
We may update this Licence from time to time. The version in force at the date of your purchase governs that purchase, so a later change will not reduce the rights you already bought. The current version is always published on this page with the date it was last updated.
15. Governing law
This Licence and any dispute arising from it are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident elsewhere in the United Kingdom you may also bring proceedings in the courts of the part of the UK in which you live.
